Seller Terms & Conditions

These Seller Terms & Conditions ("Terms") govern your access to and use of RocketLinks, a B2B software and commerce enablement service operated by Shiprocket Merchant App Private Limited ("SRMPL", "we", "us", or "our").

By registering for, accessing or using RocketLinks, you agree to be bound by these Terms, the RocketLinks Privacy Policy and any other applicable policies or terms made available by SRMPL.

If you do not agree to these Terms, you should not use RocketLinks.

1. What is RocketLinks?

RocketLinks provides sellers with tools to establish and operate an online selling presence, including:

  • Product storefronts and shareable product links
  • Product pages and catalogue functionality
  • Online checkout and payment collection
  • Order management
  • Optional shipping and delivery services
  • Seller dashboard and payout information
  • Transactional communications
  • Other features introduced by SRMPL from time to time

RocketLinks is a technology and commerce enablement service.

SRMPL is not a marketplace, does not own or sell the products listed by sellers, and is not a party to the contract of sale between the seller and the buyer.

The contract for the sale of a product is solely between the seller and the buyer.

2. Eligibility

At launch, RocketLinks is available only to sellers holding a valid GST registration/GSTIN.

You must provide accurate and complete information during registration and KYC.

SRMPL may verify the information provided by you and may require additional information or documentation before activating or continuing your account.

You must ensure that your GST registration and other business information remain valid and up to date.

3. Your RocketLinks Account

You are responsible for:

  • Providing accurate and complete information
  • Maintaining the confidentiality of your login credentials
  • Keeping your account and bank information updated
  • All activity carried out through your account
  • Notifying SRMPL of unauthorised access or suspected misuse

You must not create an account using false information or impersonate another individual or business.

4. Products and Seller Content

You may use RocketLinks to create and publish product listings.

You are solely responsible for:

  • Product information
  • Product images
  • Product descriptions
  • Price and MRP
  • Inventory and stock
  • Product variants
  • Accuracy of the information displayed
  • Legality and safety of the products
  • Having the necessary rights to use your brand, images, descriptions and other content

RocketLinks may use automated or AI-assisted tools to help generate product listings. You remain responsible for reviewing and approving any listing before publishing it.

SRMPL may restrict, block, remove or disable listings that violate applicable laws, these Terms or RocketLinks policies.

5. Prohibited Products

You must not list or sell products that are prohibited by applicable law or RocketLinks policies.

RocketLinks may automatically restrict or block prohibited categories and may suspend or terminate accounts where prohibited, unlawful, fraudulent or misleading activity is identified.

Examples of restricted categories may include arms, tobacco, drugs, alcohol and other prohibited products.

You remain responsible for ensuring that every product sold through your RocketLinks storefront is legal, safe and accurately described.

6. Buyer Relationship and Seller Responsibilities

You are the merchant selling the product and are responsible for all buyer-facing aspects of every transaction.

This includes:

  • Answering buyer questions
  • Providing accurate product information
  • Maintaining stock
  • Packing products
  • Handling returns and refunds
  • Resolving buyer complaints and disputes
  • Ensuring products are delivered as promised
  • Complying with applicable tax and consumer laws

SRMPL does not provide buyer support or act as your agent in the sale of your products.

The buyer's contract for the purchase of a product is with you, the seller.

7. Orders

Orders placed through your RocketLinks storefront may be processed through available online payment methods and, where enabled, Cash on Delivery.

You are responsible for fulfilling accepted orders in accordance with these Terms and applicable laws.

You may be required to ship orders through available shipping services or may self-ship where that option is available.

8. Shipping

Shipping through RocketLinks may be fulfilled through shipping services made available by SRMPL at the seller's applicable rate card.

Shipping charges are payable by the seller where applicable.

If you choose to self-ship an order, you are responsible for:

  • Booking the courier
  • Providing the AWB and courier information
  • Uploading delivery proof where required
  • Loss, damage or delay associated with self-shipping

SRMPL does not guarantee delivery timelines or coverage for every location.

9. Payments and Collection

SRMPL may collect prepaid payments from buyers on the seller's behalf through authorised payment infrastructure.

Where Cash on Delivery is enabled, the applicable collection and settlement mechanism will apply.

You authorise SRMPL to deduct applicable charges, taxes, refunds and other amounts payable by you from amounts collected on your behalf before settlement.

10. Fees and Commercial Terms

RocketLinks may charge the seller a commission on orders placed through the RocketLinks platform.

The applicable commission rate may be changed at the discretion of SRMPL from time to time.

The applicable commission rate and any revised commercial terms will be communicated to the seller through the RocketLinks platform or other appropriate communication channels and will apply from the effective date specified in the revised commercial terms.

Launch Commercials

At the time of launch, the applicable RocketLinks transaction fee is:

5% of the full order value + 18% GST on the commission.

For example, on an order value of ₹1,000:

  • Commission: ₹50
  • GST on commission: ₹9
  • Total commission-related deduction: ₹59

The commission is applicable when an order is placed.

In addition to the commission, the following may apply:

  • Shipping charges where the seller uses applicable shipping services
  • TCS, TDS and other statutory deductions
  • Other charges expressly communicated by SRMPL

There is currently:

  • No setup fee
  • No listing fee
  • No fee for creating product links
  • No RocketLinks fee for self-shipped orders

SRMPL may revise, introduce or discontinue fees, commissions or other commercial terms at its discretion, subject to applicable law and applicable notice requirements.

11. Payouts

Payouts are made to the bank account verified during registration.

Each RocketLinks order may initially be placed on hold.

A payout is released only after the applicable delivery and release conditions are satisfied and the payment has not been refunded.

Where the buyer confirms delivery, the applicable payout is released three days after the delivery date.

Where the buyer does not respond within the applicable confirmation period, the payout is released three days after the confirmation period.

Where the buyer reports non-delivery, the payout may remain on hold while SRMPL reviews the available delivery evidence.

If the seller is determined to have successfully delivered the order, the payout may be released after the applicable review period.

If the buyer's claim is upheld, the payout may remain on hold.

SRMPL may also retain amounts against open disputes, refunds, unpaid charges or other amounts payable by the seller.

12. Refunds and Cancellations

The seller is responsible for deciding and handling applicable return and refund requests.

Where a prepaid refund is required, SRMPL may process the refund to the original payment method in accordance with the applicable process.

The seller bears the applicable refund cost and remains responsible for resolving the underlying buyer request.

13. Taxes

You are responsible for your own tax and statutory compliance.

SRMPL may deduct applicable TCS, TDS or other statutory deductions at source and provide applicable information or invoices.

You remain responsible for filing applicable GST, income tax and other statutory returns and obligations.

14. Seller Content and Intellectual Property

You retain ownership of your brand name, logo, product images, descriptions and other content submitted by you.

You grant SRMPL a non-exclusive licence to host, display, reproduce, process and adapt such content as reasonably necessary to:

  • Operate RocketLinks
  • Display your storefront and product listings
  • Generate or improve product listings
  • Provide RocketLinks services
  • Promote RocketLinks where permitted under the applicable terms

SRMPL owns the RocketLinks platform, software, storefront design, dashboard, domains, product links, QR codes and related technology.

You represent that you have the necessary rights and permissions to use all content submitted to RocketLinks.

15. Buyer Data

Buyer information collected through your RocketLinks storefront may be processed to enable checkout, payment, shipping, order fulfilment and related services.

You are responsible for your obligations relating to buyer information and the buyer relationship.

SRMPL may process buyer information on your behalf to provide RocketLinks services and may use aggregated or de-identified information to improve the service, subject to applicable law and the RocketLinks Privacy Policy.

16. Communications

SRMPL may send transactional and service-related communications to sellers and buyers.

Seller communications may include:

  • Order summaries
  • KYC notifications
  • Payment and payout updates
  • Service notifications
  • Account-related communications

Buyer communications may include:

  • Order confirmation
  • Shipping and tracking updates
  • Delivery notifications
  • Delivery confirmation requests

You agree to provide accurate contact information required for these communications.

17. Referral Programme

RocketLinks may provide a referral programme through which eligible sellers may refer other sellers.

Any referral benefits, eligibility criteria, rewards, limits and applicable conditions will be governed by the referral programme terms communicated by SRMPL.

SRMPL may withhold or cancel referral rewards where it identifies fraud, abuse, duplicate accounts or other violations of the referral programme rules.

18. Suspension and Termination

SRMPL may suspend or terminate your RocketLinks account where there is reasonable cause, including:

  • Prohibited products
  • Misleading or inaccurate listings
  • Failed or fraudulent KYC
  • Invalid, cancelled or suspended GST registration
  • Fraud or abuse
  • Excessive cancellation, refund or dispute activity
  • Violation of these Terms
  • Unlawful activity
  • Non-payment of amounts owed to SRMPL

SRMPL may also take appropriate action to protect buyers, sellers, RocketLinks or its systems.

19. Effect of Suspension or Closure

When an account is suspended or closed:

  • The seller's storefront and product links may be taken offline.
  • The seller remains responsible for fulfilling or cancelling open orders.
  • Amounts relating to completed and eligible orders may be released according to applicable payout rules.
  • SRMPL may continue to hold amounts relating to open disputes, refunds, unpaid charges or other outstanding obligations.
  • Seller access to RocketLinks may cease.

RocketLinks domains, subdomains, product links and QR codes remain the property of SRMPL and cannot be transferred or resold by the seller.

20. Seller-Initiated Exit

You may pause your product listings at any time.

Account closure may be completed once applicable open orders, disputes, refunds, payout holds and other outstanding obligations have been resolved.

Certain records, including KYC, transaction and order records, may be retained for the period required by applicable law.

21. No Guarantee of Sales or Performance

RocketLinks provides technology and commerce enablement tools.

SRMPL does not guarantee:

  • A minimum number of customers
  • Sales or revenue
  • Website traffic
  • Conversion rates
  • Delivery timelines
  • Pincode coverage
  • Successful payment for every attempted transaction
  • Business profitability

You remain responsible for promoting your products and generating demand through your own customer and marketing channels.

22. Limitation of SRMPL's Role

SRMPL:

  • Is not a marketplace
  • Is not a seller of your products
  • Is not a party to the contract between you and your buyer
  • Does not act as your agent
  • Does not provide buyer support on your behalf
  • Does not guarantee sales or customer traffic
  • Does not provide tax or legal advice
  • Does not handle your GST filings

You remain responsible for your business, products, customers, taxes and legal obligations.

23. Fraud and Misuse

You must not use RocketLinks for fraudulent, deceptive, unlawful or abusive activities.

SRMPL may investigate suspicious activity and take appropriate action, including:

  • Restricting listings
  • Suspending accounts
  • Holding payouts
  • Cancelling or restricting transactions
  • Recovering amounts owed
  • Terminating access to RocketLinks

24. Changes to RocketLinks

SRMPL may modify, add or remove RocketLinks features, functionality or services from time to time.

Certain features may be introduced as pilots or may be subject to additional terms.

Continued use of RocketLinks after applicable changes take effect constitutes acceptance of the updated Terms, subject to applicable notice requirements.

25. Privacy

Your use of RocketLinks is also governed by the RocketLinks Privacy Policy, which explains how SRMPL collects, uses, stores and shares personal information.

The Privacy Policy forms part of these Terms.

26. Disclaimer

RocketLinks is provided subject to availability.

To the extent permitted by applicable law, SRMPL does not warrant that RocketLinks will always be uninterrupted, error-free or available at all times.

SRMPL may temporarily suspend access for maintenance, security, technical issues, upgrades or other operational reasons.

27. Governing Law

These Terms are governed by the laws of India.

Any disputes arising in connection with these Terms or your use of RocketLinks shall be subject to the applicable jurisdiction of the courts and authorities specified by SRMPL, subject to applicable law.

Acceptance

By registering for, accessing or using RocketLinks, you confirm that:

  1. You have read and understood these Terms.
  2. You are authorised to operate the business associated with the RocketLinks account.
  3. The information provided by you is accurate and complete.
  4. You agree to comply with these Terms and applicable laws.
  5. You accept responsibility for the products, orders, customers, taxes and business activities conducted through your RocketLinks account.
